Agreement & Understanding

This User Agreement ("Agreement") is made by and between FundNet, LLC, a Delaware corporation, with offices at 2100 N. Wilmot Ste 218, Tucson, AZ 85712. ("fund-net.com") and you ("you" or "your")organization. This Agreement contains the terms and conditions that govern your use of this Web Site.

PRICING:

Setup charges for a basic store is (using a standard template)  $100. Custom stores may be built with a price determined by the amount of customization required. All setup fees for web stores and logo digitization (setting up your logo for embroidery) must be paid before store becomes “live”.

Our monthly charge for your store will be $19.95 billed at net 90 days. You may offset these charges by actively promoting your store and receiving rebates. A statement of these charges and rebates accrued will be sent quarterly within 30 days after end of calendar quarter.

Opening an Account

To become a Member, you must open an account with fund-net.com through its online registration process or via direct contact with a member of our staff. Organization will provide
key contact information to FundNet for program administration. This key contact will
coordinate all activities for the program with FundNet.

Promotional ideas, new product offerings, and sales notifications will be forwarded to this contact that will be responsible for communicating with the membership.

You must provide FundNet with accurate and complete contact and payment information if you open an account. You must promptly notify FundNet if any of this information changes.

You will need to select a password if you open an account. You will be responsible for all use of your password, including, without limitation, any use by any unauthorized third party.

You must notify FundNet immediately if you believe your password has been or may be obtained or used by any unauthorized person or entity. In addition, you must notify FundNet immediately if you become aware of any other breach or attempted breach of the security of the store.

Organization Responsibilities

Organization is responsible for promoting your store to your members. All members of organization should be notified of opening and periodically through out the year.

Organization will provide key contact information to FundNet for program administration. This key contact will coordinate all activities for the program with FundNet.

Organization will allow use of trademark, logo, mascot, etc. for use in creation of store and personalization of item for sale.

FundNet anticipates your store to raise substantial funds for your organization. The key to our program’s success is for the organization to promote the store to their membership. We suggest and require that some efforts be made to market your store. Please refer to our

Tips on Promotion Policy for specifics.

Rebates may be specified to a particular program within the organization or specific promotions.

Retail price of items will depend on item choice and type of personalization. Suggested retail price shown is based on a 5000 stitch embroidered logo. FundNet reserves the right to change the retail price depending on wholesale availability and decorating costs.

FundNet Responsibilities

Store will be hosted on FundNet fully secure servers.

A URL for store will be provided to organization’s administrator after the contact person completes the registration process. Please prominently display store link on your organizations web site.

FundNet will handle order processing, credit card processing and fulfillment to customer. Shipment will be sent direct to the customer and not the organization.

Please note: Decoration of items require a minimum of five working days prior to shipment. FundNet will ship with all possible haste after order and payment has been received.

FundNet will offer periodic sales in your store to all members. These sales may include a percentage discount or special offer. Special sales will not affect the rebate amount.

Compensation.

Most items have at least a 20% rebate to the organization based on the actual retail less the cost of shipping and taxes.

Rebate check will be issued to organization on quarterly basis- rebates are based on net sales revenue less decorating, shipping and other charges. Rebate amounts by item are available upon request.

All charges for logo digitizing or other artwork set-up will be deducted from initial rebate amounts. These charges vary according to type of decorating but usually are a one-time charge of $25-50/logo. Any changes to the logo will require new digitizing and therefore will be an additional logo charge.

Intellectual Property Rights

Rights to Member Content: You will retain all rights to your Member Content. You hereby grant to FundNet a royalty-free, worldwide, nonexclusive, right and license to use your Member Content in connection with the advertising, promotion, production and sale of any and all Products you choose to sell in accordance with this Agreement.

You grant FundNet permission to reproduce your Member Content in FundNet marketing and advertising, provided FundNet credits you as actual owner of the Member Content.

FundNet will not represent that it owns your Member Content. If you or FundNet terminate your account, FundNet will cease its use of your Member Content as soon as reasonably practical.

Product Thumbnails and Other Images created using the FundNet Service:
You may only use thumbnails and other images created through the FundNet Service in your Shop or to promote your Shop or the FundNet Service. Any other use of such thumbnails or other images is strictly prohibited unless prior written permission is obtained from FundNet.

Termination
In its sole and absolute discretion, with or without notice to you, FundNet may (i) suspend or terminate your use of the FundNet Service, (ii) terminate your account, (iii) remove your Store from FundNet's servers and (iv) prohibit you from opening any new Stores. If your Store has no activity in a 6 month period, FundNet will terminate your store.

If you are a Member, you may terminate your account for any reason at any time by contacting FundNet in writing.

This Agreement will survive indefinitely unless and until FundNet chooses to terminate it, regardless of whether any account you open is terminated by you or FundNet.
